DRAFT FOR REVIEW — NOT RELEASED FOR PRODUCTION Mule Contractor Agreement (version 2026-10-09.1) This agreement is between the contractor business identified in the account and Sol de Vaquero LLC, doing business as Mule ("Mule"). Operator notices: [Notice address to be confirmed]; contact details pending. 1. Authority and independent business The person accepting represents that they are authorized to bind the contractor business identified in the account. Contractor operates an independent business, chooses which offered jobs to accept and its availability, and controls the lawful methods, personnel, tools, materials and day-to-day performance of its work. Contractor is responsible for its taxes, payroll, employment obligations, permits and business expenses. No guaranteed work, territory or earnings are promised. The relationship is determined by applicable law and actual conduct, not this label alone. Mule's software, documentation, customer-protection and payment requirements do not authorize it to supervise trade methods. Contractor may serve other customers and platforms subject only to the limited introduction protection below. 2. Workmanship, damage, credentials and safety Contractor is responsible for the contracted work, its crew and subcontractors, applicable professional standards, code compliance, safety and damage or injury it causes. Contractor must obtain and keep current the licenses, permits and insurance its trade, law and disclosed participation requirements require, including appropriate general liability coverage for its operations. It must promptly disclose any material lapse or restriction and stop accepting work it cannot lawfully or safely perform. Credential uploads and declarations must be truthful. Listing a policy or license does not establish that Mule verified it or that a loss is covered. Mule may request supporting evidence and restrict new bookings when required information is missing, expired or unreliable. Contractor remains responsible for reporting claims to insurers and cooperating in lawful resolution; acceptance of these terms does not create insurance coverage. 3. Contractor pricing and customer consent Contractor sets its service rates, applicable emergency charges, scope and availability through the tools provided. Mule displays its customer service fee and applicable taxes as part of the homeowner's approved offer. Contractor reviews and accepts the commission and payout calculation disclosed for the booking. Customer fees and contractor commission must be disclosed to the affected party before the commitment, locked to that booking, and not changed retroactively without the affected party's express agreement. Contractor must obtain the homeowner's express in-app approval of additional scope and its price before performing or charging for that additional work. It may decline unsafe or out-of-scope work and propose a separate quote. It may not impose surprise travel, emergency, materials, cancellation or other charges that were not authorized under the disclosed booking terms. 4. Appointment to collect payment and net payouts Contractor appoints Mule as its limited agent to invoice and accept payments for services booked through Mule and will identify Mule to those customers as authorized to accept that payment. Mule invoices and charges the homeowner after the contractor records completion under the disclosed workflow, unless the homeowner separately authorized another disclosed payment arrangement. Contractor provides accurate completion records and does not mark unfinished work complete merely to trigger a charge. When Mule or its designated processor successfully receives an authorized customer payment, the customer's payment obligation to Contractor is satisfied for that amount, subject to a lawful refund or reversal. Contractor's right to that money is then against Mule under the payout arrangement; it may not require the customer to pay again because Mule failed to remit funds. Mule pays the contractor the collected amount allocated to it, net of the agreed commission and lawful, disclosed adjustments. Processor settlement, genuine fraud review, refunds and chargebacks can affect timing; any reserve, deduction or hold requires a disclosed contractual or legal basis and an itemized explanation. This agreement does not authorize Mule to confiscate unrelated earned balances. 5. Job communication, records and service issues Keep job scheduling, scope, price changes, authorizations, completion evidence, payment discussions and disputes in the app. Use phone or emergency channels for urgent safety, accessibility needs or outages and record material agreements in the app afterward when practical. Do not pressure homeowners to conceal communications or waive lawful review or dispute rights. Contractor must address timely reported defects and damage in accordance with its agreed warranty, applicable law and the booking scope, and cooperate with reasonable requests for records. Mule may facilitate support and refund review but does not assume performance of Contractor's trade work. No acceptance deadline in software eliminates a claim the law preserves. Refunds and chargeback allocations must consider responsibility, evidence and applicable processor rules; disputed deductions may be raised with support. 6. Limited protection for Mule introductions A platform-originated client is a person first introduced to Contractor through a Mule lead, booking or referral, excluding a relationship Contractor can reasonably document as existing before that introduction. For 12 months after the last completed Mule booking with that client, Contractor must not deliberately solicit, accept or conceal substantially related services or payments outside Mule to evade the disclosed platform fee or commission. This includes concealed arrangements proposed by either party. The restriction protects the introduction, does not claim ownership of all client relationships, and applies only to the extent lawful and reasonably necessary. Document preexisting clients through the import/source records or support before relying on the exception; reasonable contemporaneous evidence may establish the relationship. An imported name alone does not prove a preexisting relationship or create marketing consent. Mule may review a disputed classification and correct it. No automatic buyout, multiplier or punitive fine is imposed. Available remedies are proportionate account measures and recovery of legally recoverable, proven unpaid fees or losses, without double recovery. 7. Business data and software access Contractor retains its rights in business content and lawfully imported client data. It grants Mule limited rights to host, process and display that information to deliver the agreed service, document transactions and comply with law. Contractor is responsible for its authority to import and use data; Mule access does not authorize scraping, unrelated marketing, resale or misuse of homeowner information. Apply access controls to crews and promptly remove people who no longer need access. Mule provides software on an available-service basis, without promising uninterrupted operation, guaranteed leads or error-free measurements. Contractor must use professional judgment for scope and measurements. Any SaaS subscription, renewal, trial conversion or additional software charge requires separate disclosure and acceptance of price, cadence and cancellation terms; this agreement alone creates no subscription. Account closure does not prevent lawful export or records requests, subject to identity checks, other parties' privacy and legitimate retention. 8. Responsibility for third-party claims To the extent permitted by applicable law, Contractor will indemnify Mule against third-party claims and reasonable, documented resulting costs to the extent caused by Contractor's negligent or wrongful performance, material breach, unlawful data use or violation of law. This obligation does not extend to the extent a claim is caused by Mule's own negligence, misconduct or nonwaivable duty, and does not override statutory restrictions on construction indemnity or insurance obligations. Mule must give reasonably prompt notice and a reasonable opportunity to participate in the defense, subject to urgent protective action and insurer requirements. Neither party may settle a claim in a way that admits liability or imposes a nonmonetary obligation on the other without that party's reasonable consent. No provision guarantees total immunity for Mule or transfers obligations the law does not permit a party to transfer. 9. Proportionate enforcement, ending participation and disputes Mule may restrict new bookings, suspend or remove participation for material breach, substantiated circumvention, fraud, unsafe work or serious misconduct. The response should reflect severity and available evidence; where practical Mule provides notice, reasons and an opportunity to correct or request review at the support channel configured before launch. Urgent safety or fraud protection may be immediate. No automatic punitive fine is created. Contractor may end future participation by notice and remains responsible for accepted work unless it is lawfully reassigned or cancelled with the affected customer. Departure does not erase earned payouts, justified refunds, completed-work obligations or rights of record access. Confidentiality, lawful payment duties, the limited remaining introduction-protection period and provisions that reasonably need to survive continue to the extent lawful. Parties may seek support resolution, lawful administrative remedies or court relief; this template requires neither arbitration nor a class-action waiver. 10. Changes and applicable law Texas law governs to the extent applicable, subject to mandatory law. New material terms require versioned notice and the assent required by law; changed fees do not silently alter accepted bookings. If a provision is unenforceable, it is limited or severed only as law permits. Nothing waives nonwaivable consumer, worker, privacy or other statutory rights, excuses fraud or willful misconduct, or makes a worker classification binding on a government agency. Electronic records and delivery You may choose electronic contracting and electronic delivery of agreements, booking confirmations, invoices, notices and related records for your Mule account. This choice is separate from accepting the service terms and from marketing consent. The terms are available as HTML and downloadable plain text. You need an internet connection, an email account, a current browser that displays this page, and the ability to save a text file or print a page. Open the full agreement and confirm you can read and retain it before consenting. You may request a paper copy at no charge, update your email or mailing details, or withdraw electronic-delivery consent by contacting the contact channel configured before launch. Withdrawal applies prospectively and does not invalidate records already delivered or charges already authorized. If electronic delivery is necessary for a new online transaction, Mule may pause that transaction while arranging an available alternative; your existing legal rights and access to prior records remain. We will disclose material technology changes and obtain any renewed consent required by law. Checking the acceptance box, separately consenting to electronic records, typing your legal name and submitting records your electronic signature to this exact document version. Keep a copy for your records. A simulation in demo mode is not production acceptance. Privacy notice (version 2026-10-09.1) Operator and scope Sol de Vaquero LLC, doing business as Mule, operates this service. This notice covers account, property, job and business information processed through Mule. Contact: contact details must be configured before launch; [Notice address to be confirmed]. Information and purposes We process account and contact details; business, licensing and insurance declarations; property addresses and details; service requests, prices, invoices and payment references; uploaded photos; job messages, reviews and records; agreement acceptance; and technical security logs. We use them to provide accounts, find and schedule services, support quoting, document work, process payments, resolve disputes and protect the service. Authentication and payment processors handle credentials and payment information through their systems. Mule may review job messages, uploaded photos, payment references and related activity to investigate fraud, payment abuse or evasion of disclosed platform fees. Rules can flag risk signals for human review; a flag is not proof of wrongdoing, and detection is not guaranteed. Authorized reviewers may request context or temporarily limit activity or payouts as disclosed in the agreement while resolving a specific risk. We do not authorize an automatic punitive fine based only on a signal. When you request a property scan, relevant location or address information is sent to the configured public-data or imagery providers. Automated measurements can be incomplete or wrong. A photo or message can contain personal information; share only what is needed for the job, and avoid unnecessary images of people, keys, documents or unrelated private spaces. Sharing and service providers Relevant job information is shared with the homeowner, selected contractor and authorized personnel who need it. Infrastructure, authentication, payment, communications and measurement providers process the information needed for their functions. Mule may disclose information where reasonably necessary for legal obligations, safety, fraud investigation, establishing or defending claims, or a business transfer subject to applicable safeguards. Contractor business imports must be lawfully obtained; importing a contact is not consent to marketing. This release does not authorize sale of personal data or its use for targeted advertising. Those activities require an accurate updated notice and any consent or opt-out process the law requires before they begin. Contractors may use homeowner information only to fulfill the authorized job, maintain necessary business records and comply with law; unrelated marketing or disclosure requires an independent lawful basis. Retention, security and your requests Records are retained as reasonably needed for the service, agreed work history, security, accounting, legal obligations and disputes. Agreement versions and acceptance evidence may remain after account closure where needed to establish the parties' obligations. Retention is not unlimited; deletion requests are assessed against those purposes and applicable law. No system is guaranteed free from unauthorized access or interruption. You may request access, correction, deletion or a portable copy of your personal data, and appeal a decision, through the contact channel configured before launch. We verify identity and respond as required by applicable law, explaining any permitted denial or retention. Where applicable, you may exercise statutory opt-out rights without unlawful discrimination. Keep your contact details current. Service notices are distinct from optional marketing preferences. Google Calendar data and use Connecting Google Calendar is optional. With your authorization, Mule reads calendar identifiers, names and access permissions so you can choose a personal calendar and a separate writable appointments calendar. For your selected personal calendar, Mule requests busy start and end times rather than event titles, descriptions, attendees or locations. Busy time is used to avoid conflicting reservations. An owner's calendar affects company availability; staff calendars affect their work and checks for unassigned company reservations. Mule reads, creates, updates and removes its own events in your chosen appointments calendar to synchronize eligible Mule visits. These events contain a generic Mule appointment title, times and an internal event identifier, without customer names, addresses or job descriptions. They are marked private; who can access them also depends on the calendar's permissions. The Google event permission is broader than these actions, but Mule uses it for this appointment synchronization feature. Mule stores selected calendar identifiers and labels, your Mule account/company association, connection and synchronization status, busy intervals, and export mappings. It temporarily holds encrypted authorization credentials in an HttpOnly browser cookie for up to ten minutes while you finish connecting. Once saved, the refresh credential is encrypted with AES-256-GCM on the server so synchronization can continue when you are not using Mule. Calendar requests use HTTPS. Mule's hosting and database providers process the information needed to operate this feature; calendar records are accessed through Mule’s server rather than directly by user accounts. Your company owner can see your calendar label, provider, connection status, last synchronization time and error status, including after disconnection. A calendar label can contain personal information such as an email address, so review its name before connecting. Busy intervals influence available reservation times. Mule does not show personal event titles or other personal event details to homeowners or company colleagues. Google Calendar retention and your controls A successful synchronization replaces the stored busy snapshot for a rolling window from yesterday through 32 days ahead. This is a synchronization window, not an automatic deletion deadline: a failed synchronization can leave the previous snapshot stored while new reservations are paused. Connection details, authorization credentials and export mappings remain while the connection is in use, unless removed through the controls or a data request described here. When you complete Disconnect in Contractor Calendars, Mule clears that connection's stored authorization credentials and busy intervals and stops synchronizing it. Mule attempts to remove its exported appointments, but time limits, unavailable access or another active connection using the same exports can leave events behind. Review the destination calendar and remove unwanted Mule copies manually. Another active connection may recreate shared copies on a later sync. Disconnect does not erase your saved Mule visits, connection identifiers, labels, synchronization records or export mappings, and earlier records may remain in backups. It is not a complete data-deletion request. You can separately remove Mule's access in your Google Account's third-party connections settings. Revoking Google access does not itself delete records already held by Mule. To request deletion of retained Google Calendar information, contact the contact channel configured before launch. We verify your identity, identify the records covered by your request, and explain any information that must remain and why. No fixed backup-deletion period is promised by this notice. Calendar management and deletion instructions are available on Mule's Help page. Google Calendar Limited Use Mule follows the Google API Services User Data Policy and Google Workspace API rules, including their Limited Use restrictions. These rules cover Google Calendar information and data derived from it, and take precedence over the broader data-use, review, disclosure, business-transfer and future-advertising language elsewhere in this notice. We use Google Calendar information only to provide the visible calendar-selection, availability and appointment-synchronization features. We do not sell it, use or transfer it for advertising, credit decisions or lending, or use it to create, train or improve general-purpose artificial intelligence or machine-learning models. Transfers are limited to what is needed for these user-facing features with your consent, security purposes or applicable legal requirements. Any transfer as part of a merger, acquisition or sale of assets requires your explicit prior consent. People may read Google Calendar information only with your documented agreement to access the specific information, where necessary for security such as investigating a bug or abuse, where required by law, or as aggregated and anonymized information for permitted internal operations. The company-owner visibility disclosed above is part of the calendar connection you choose to enable. These limits also apply to our service providers and personnel. Adults and changes Mule accounts and bookings are intended for adults 18 or older, not children. Do not submit a child's personal information unnecessarily. Material changes to this notice will be identified with a new version and communicated as required; consent will be sought where required. This notice does not waive privacy rights provided by law.
